Agreement between You and TBT Designs, Inc.

Welcome to Trish Bennett Home, operated by TBT Designs, Inc. (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) apply to our primary website, trishbennetthome.com, and our additional websites, loveliveshereox.com and trishbennetttextiles.com (collectively, the “Site”).

The Site offers home furnishings, bed, bath and table linens, and one-of-a-kind textiles.

The Site is offered to you subject to your acceptance of these Terms. Your use of the Site constitutes your agreement to these Terms. Please read them carefully and keep a copy for your reference.

Privacy

Your use of the Site is subject to our Privacy Policy. Please review that policy, which explains our data collection and privacy practices.

Electronic Communications

Visiting the Site or sending emails to us constitutes electronic communication. You consent to receive electronic communications from us and agree, to the extent permitted by applicable law, that agreements, notices, disclosures, and other communications we provide electronically, by email or through the Site, satisfy requirements that such communications be in writing.

Your Account

If you use an account on the Site, you are responsible for maintaining the confidentiality of your account and password, restricting access to your account, and accepting responsibility for activities that occur under your account or password.

You may not assign or transfer your account to another person or entity.

You acknowledge that we are not responsible for third-party access resulting from theft or misappropriation of your account, except where responsibility is imposed by applicable law.

We reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion, subject to applicable law.

Children Under Thirteen

We do not knowingly collect personal information, online or offline, from children under the age of thirteen.

If you are under eighteen, you may use the Site only with permission from a parent or guardian.

Shipping, Cancellations, and Refunds

Shipping arrangements, return eligibility, deadlines, exclusions, and refund procedures are described in our Shipping and Returns Policy, which forms part of these Terms.

Orders are accepted for delivery within the United States only.

Custom orders are non-cancellable and non-returnable, except where required by applicable law.

Eligible merchandise may be returned for a refund of the merchandise purchase price, subject to the conditions and exclusions in our Shipping and Returns Policy. Please review that policy before placing an order.

Links to Third-Party Sites and Services

The Site may contain links to other websites (“Linked Sites”). Linked Sites are not under our control, and we are not responsible for their content, including links they contain or changes and updates made to them.

We provide these links for convenience. Including a link does not imply endorsement of a Linked Site or an association with its operators.

Certain services available through the Site are delivered by third-party websites and organizations. When you use these services, we may share information with service providers as necessary to provide the product, service, or functionality you request, as described in our Privacy Policy.

No Unlawful or Prohibited Use

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site in accordance with these Terms.

As a condition of using the Site, you agree not to use it for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in a manner that could damage, disable, overburden, or impair it, or interfere with another party’s use and enjoyment of it.

You may not obtain or attempt to obtain materials or information through means not intentionally made available through the Site.

Intellectual Property

Content included on the Site, such as text, graphics, logos, images, compilations, and software, is the property of TBT Designs, Inc., its suppliers, or its licensors and is protected by copyright and other intellectual property laws.

You agree to observe all copyright and proprietary notices and restrictions contained in such content.

You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or otherwise exploit protected content found on the Site, in whole or in part, except as permitted by applicable law or expressly authorized in writing.

Site content is not for resale. Your use of the Site does not authorize you to delete or alter proprietary rights or attribution notices.

You may use protected content solely for your personal use. Any other use requires express written permission from us and the applicable copyright owner, except where permitted by law.

You do not acquire ownership rights in any protected content. We grant no licenses, express or implied, to our intellectual property or that of our licensors except as expressly provided in these Terms.

International Users

The Site is controlled, operated, and administered from our offices in the United States.

If you access the Site from outside the United States, you are responsible for complying with applicable local laws. You agree not to use the Site or its content in any country or manner prohibited by applicable laws, restrictions, or regulations.

Access to the Site from another country does not mean that we offer delivery to that country. Orders are accepted for delivery within the United States only.

Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless TBT Designs, Inc., its officers, directors, employees, agents, and third parties from losses, costs, liabilities, and expenses, including reasonable attorneys’ fees, relating to or arising from your use of or inability to use the Site or its services; any user postings you make; your violation of these Terms; your violation of another party’s rights; or your violation of applicable laws, rules, or regulations.

We reserve the right, at our own cost, to assume the exclusive defense and control of a matter otherwise subject to indemnification by you. In that event, you agree to cooperate with us in asserting available defenses.

Arbitration

If the parties cannot resolve a dispute arising out of or concerning these Terms, whether in contract, tort, law, or equity, the dispute shall be resolved by final and binding arbitration pursuant to the Federal Arbitration Act.

Arbitration shall be conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, at a location mutually agreed upon by the parties.

The arbitrator’s award shall be final, and judgment may be entered upon it in a court having jurisdiction.

If a legal or equitable action, proceeding, or arbitration arises out of or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorneys’ fees, to the extent permitted by applicable law.

The parties agree to arbitrate disputes and claims arising directly or indirectly from these Terms, including related tort claims. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

The entire dispute, including the scope and enforceability of this arbitration provision, shall be determined by the arbitrator. This provision shall survive termination of these Terms.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS INCLUDED ON OR AVAILABLE THROUGH THE SITE MAY CONTAIN INACCURACIES OR TYPOGRAPHICAL ERRORS. WE AND OUR SUPPLIERS MAY MAKE CHANGES OR IMPROVEMENTS TO THE SITE AT ANY TIME.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TBT DESIGNS, INC. AND ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS AVAILABLE THROUGH THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TBT DESIGNS, INC. AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS REGARDING THEM, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TBT DESIGNS, INC. AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR OTHER DAMAGES, INCLUDING LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE; DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES; THE PROVISION OF OR FAILURE TO PROVIDE SERVICES; OR INFORMATION, SOFTWARE, PRODUCTS, SERVICES, OR RELATED GRAPHICS OBTAINED THROUGH THE SITE.

THIS LIMITATION APPLIES WHETHER A CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF TBT DESIGNS, INC. OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

SOME STATES OR JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR EXCLUSIONS OR LIMITATIONS OF LIABILITY. THOSE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, IF YOU ARE DISSATISFIED WITH THE SITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination and Access Restrictions

We reserve the right, in our sole discretion, to terminate your access to the Site and related services, or any portion of them, without notice, subject to applicable law.

To the maximum extent permitted by law, these Terms are governed by the laws of the State of New York. You consent to the exclusive jurisdiction and venue of courts in New York for disputes arising out of or relating to use of the Site.

Use of the Site is unauthorized in any jurisdiction that does not give effect to these Terms, including this section.

General Terms

You agree that no joint venture, partnership, employment, or agency relationship exists between you and TBT Designs, Inc. as a result of these Terms or your use of the Site.

Our performance under these Terms is subject to existing laws and legal process. Nothing in these Terms limits our right to comply with governmental, court, or law enforcement requests relating to your use of the Site or information provided to or gathered by us concerning that use.

If any provision is found invalid or unenforceable, including a warranty disclaimer or liability limitation, it shall be replaced, to the extent permitted by law, by a valid and enforceable provision that most closely reflects its original intent. The remaining provisions shall continue in effect.

Unless otherwise specified, these Terms constitute the entire agreement between you and TBT Designs, Inc. concerning the Site and supersede prior or contemporaneous communications and proposals, whether electronic, oral, or written, concerning the Site.

A printed version of these Terms and any electronically provided notice shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business records originally created and maintained in printed form.

These Terms and related documents are written in English.

Changes to Terms

We reserve the right to update these Terms, subject to applicable law. Revised Terms will be posted on the Site with an updated date. We encourage you to review them periodically.
